BREITLING SOCIAL CLUB MEMBERSHIP BENEFIT FOR ELIGIBLE WATCHES - TERMS & CONDITIONS

These terms and conditions (the “Terms and Conditions”) describe the Breitling Social Club membership benefit included with the purchase of certain Breitling watches or products that Breitling designates as eligible (“Eligible Watches”). The specific Eligible Watches and the applicable membership duration and benefits are communicated separately by Breitling, whether in product descriptions, promotional materials, on breitling.com, or by other means. These Terms and Conditions apply to all such membership benefits.

ELIGIBILITY

1.1 To be eligible for a Club membership benefit, an individual purchasing an Eligible Watch (a “Customer”) must:
(a) Purchase a new Eligible Watch (online or offline) from an affiliate of Breitling or a Breitling authorized dealer;
(b) Be at least 21 years old; and
(c) Comply with any additional eligibility requirements specified for that Eligible Watch.

1.2 The “Breitling Social Club” or “Club” means the private members’ club that Breitling or an affiliate operates or plans to open, including in Williamsburg, Brooklyn, New York, USA, and any other social club that Breitling may include in the same group of social clubs.
CLUB MEMBERSHIP BENEFIT

2.1 The purchase of an Eligible Watch entitles the original purchaser to be offered a personal, non-transferable Club membership for the duration specified for that Eligible Watch (which may be one year, multiple years, or lifetime, as applicable), only if and when the Club opens and subject to the original purchaser’s acceptance of any applicable Club membership terms, rules and policies. “Lifetime” membership, where offered, means the natural lifetime of the original purchaser and does not mean perpetuity.

2.2 Depending on the Eligible Watch, Club membership may grant access to all Club locations worldwide or may be limited to specific Club location(s), as communicated in the applicable promotional materials or on breitling.com.
NOMINAL MANDATORY SIGN-UP FEE

3.1 Depending on the Club location and applicable regulations, a nominal mandatory sign-up fee may be required to activate or maintain Club membership. The applicable fee amount and payment terms will be communicated by Breitling prior to membership activation. This fee is separate from the purchase price of the Eligible Watch and is non-refundable once paid.
CLUB MEMBERSHIP ACTIVATION

4.1 Membership activation may not be available immediately after purchase of an Eligible Watch and may only become available between the date of purchase and the date of opening of the relevant Club.

4.2 To accept and activate the offered Club membership, the original purchaser must complete the registration and verification steps communicated by Breitling, which may include:
(a) Creating or using a digital Breitling account (“Breitling Account”) or any other account or platform specified by Breitling; Registering the Eligible Watch;
(b) Providing proof of identity, full address and contact details, proof of purchase, and any other information reasonably required; and
(c) Accepting any then applicable Club membership terms, rules and policies.

4.3 Breitling may communicate activation instructions through the purchaser’s Breitling Account, by email, on breitling.com, or by other reasonable means. No Club membership or Club benefits are available before the Club opens and the activation requirements are successfully completed.
BENEFIT LIMITATIONS

5.1 The membership benefit is personal to the original purchaser. It is not transferable, assignable, or capable of being pledged, and it does not transfer with the Eligible Watch on any sale, gift, inheritance or other transfer.

5.2 The membership benefit is not redeemable for cash or credit and cannot be combined with any other offer or promotion.

5.3 To the fullest extent permitted by applicable law, the membership benefit will not be provided or will expire, as applicable, in the event the relevant Club does not open, closes down, or Breitling is unable for reasons outside of its control to accept the purchaser as a Club member. In any such case, no compensation, refund, price reduction, credit, substitute benefit, alternative offering, or other remedy will be owed or available.

5.4 Nothing in these Terms and Conditions limits or waives mandatory consumer rights.
CHANGES AND WITHDRAWAL

6.1 Subject to mandatory law, Breitling may amend these Terms and Conditions or change or withdraw the membership benefit for future purchases. Any such changes will not affect Eligible Watches already purchased before the change comes into effect.
PRIVACY

7.1 Personal data processed for eligibility, registration, verification, communications, or activation will be handled in accordance with Breitling’s Privacy Policy, available at www.breitling.com, or the relevant authorized dealer’s privacy policy, and applicable data protection laws.
LIMITATION OF LIABILITY

8.1 To the maximum extent permitted by applicable law, Breitling’s total liability under or in connection with these Terms and Conditions, whether in contract, tort (including negligence), or otherwise, shall not exceed the price of the purchased Eligible Watch. Breitling shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or anticipated savings. Breitling shall have no liability to Customers for any changes in the membership benefit, or for the unavailability of Club membership or other benefits. Nothing in these Terms and Conditions excludes or limits liability for death or personal injury, intentional misconduct or gross negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.
GOVERNING LAW AND MANDATORY CONSUMER PROTECTIONS

9.1 These Terms and Conditions are governed by the substantive laws of Switzerland, without regard to conflict-of-laws principles.

9.2 Any dispute arising out of or in connection with these Terms and Conditions shall be submitted to the courts of the Canton of Solothurn, Switzerland.

9.3 Nothing in these Terms and Conditions deprives a consumer of the protection afforded by mandatory provisions of the law of the consumer’s country of habitual residence that cannot be derogated from by agreement.

9.4 If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court or other competent authority, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
